Terms of Service (B2B)

Natrul Health Group LLC (“Nat-Rul Health,” “we,” “us,” or “our”)
Effective Date: 2 June 2025

1 | Acceptance

By registering an account, placing an order, or otherwise using nat-rul.com (“Site”), you (“Customer”) agree to these Terms of Service (“Terms”) and our Privacy Policy.

2 | Eligibility & Account Security

You confirm that you are authorized to transact on behalf of a licensed business, and that you will:

  • Provide accurate information;

  • Keep login credentials confidential;

  • Promptly notify us of any unauthorized use.

3 | Orders & Pricing

  • Offers – Product listings are invitations to order, not binding offers.

  • Acceptance – Orders become binding only when (a) we send written confirmation or (b) products ship.

  • Prices – All prices are in U.S. dollars, exclusive of taxes, duties, shipping, and insurance unless stated. We reserve the right to correct pricing errors or cancel an affected order.

  • Minimums – We may impose minimum order quantities or dollar values.

4 | Payment Terms

Unless otherwise agreed in writing: Net 30 days from invoice date. Late balances accrue interest at 1.5 % per month (or legal maximum). Customer bears all collection costs.

5 | Shipping; Title & Risk

All shipments are FOB Origin (Incoterms 2020) via common carrier (e.g., UPS, FedEx) unless otherwise agreed. Title and risk of loss pass to Customer upon delivery to the carrier. Delivery dates are estimates; we are not liable for delays beyond our control.

6 | Inspection, Returns & Shortages

Inspect shipments within 5 business days of receipt. Notify us promptly of shortages or damage; otherwise goods are deemed accepted. Returns require a Return-Merchandise Authorization (RMA), must be unopened/resalable, and made within 30 days of invoice. A 15 % restocking fee may apply.

7 | Product Information & Regulatory Compliance

  • Intended Use – Products are dietary supplements for professional resale. They are not intended to diagnose, treat, cure, or prevent any disease.

  • No Alterations – You may not re-label, re-package, or modify products without our written consent.

  • Compliance – You are solely responsible for complying with all federal, state, and local laws (e.g., FDA, DSHEA) governing storage, marketing, and resale.

8 | Limited Warranty & Disclaimer

Products are warranted to conform to our written specifications and be free from material defects in workmanship for one (1) year from shipment. EXCEPT AS EXPRESSLY SET FORTH, WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

9 | Limitation of Liability

Our total liability under any theory shall not exceed the price you paid for the specific product or service giving rise to the claim. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including lost profits or business interruption.

10 | Indemnification

You will defend and indemnify Nat-Rul Health, its affiliates, and employees from any claims, damages, or expenses (including attorneys’ fees) arising from (a) your breach of these Terms, (b) misuse or unauthorized distribution of products, or (c) violation of applicable laws.

11 | Intellectual Property

All trademarks, logos, text, images, and product formulations on the Site are owned by or licensed to Nat-Rul Health and protected by U.S. and international laws. No license or right is granted except as expressly provided.

12 | Confidentiality

Non-public pricing, formulas, or programs disclosed to you constitute Nat-Rul Health confidential information. You agree not to disclose such information without our written consent.

13 | Force Majeure

We are not liable for failure to perform due to causes beyond our reasonable control—including natural disasters, labor disputes, raw-material shortages, or transportation delays.

14 | Governing Law & Venue

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Any dispute shall be resolved exclusively in the state or federal courts located in Rockland or Westchester County, New York, and you consent to their jurisdiction.

15 | Modifications

We may update these Terms at any time by posting a revised version on the Site. Continued use after the effective date constitutes acceptance.

16 | Termination

We may suspend or terminate your account for violation of these Terms or applicable law. Sections 7-12 and 14-17 survive termination.

17 | Entire Agreement & Severability

These Terms, any current price list, and written order confirmations constitute the entire agreement and supersede all prior understandings. If any provision is unenforceable, the remainder will remain in effect.
